1. What is Form SH 11 ?
Buy-Back of securities means ‘purchasing own shares or other specified securities of the company from its existing shareholders to extinguish/reduce the outstanding shares or securities. The company for buying back its own share shall pass a special resolution and within one year shall buy back its shares. The company is also required to file a return of the buy back with the registrar of the companies within 30 days from the completion of buyback. This return shall be in Form SH 11
2. Why is it Important ?
It is compulsory for the companies to file form SH 11 intimating the ROc about the number of shares bought back and with other details
