1. What is Form RSC 1 ?
This form is filed pursuant to NCLT (Procedure for Reduction of Share Capital of Co.) Rules, 2016. Capital reduction is the process of decreasing the company’s equity through cancellation or repurchase of equity shares to achieve capital restructuring due to over-valuation of assets or over-capitalization. If any company wants to reduce its share capital, it shall file an application with NCLT seeking approval in form RSC . The application shall be accompanied by list of creditors, a certificate from the auditor of the company
2. Why is it important?
a. This is a statutory requirement.
b. This form contains the format in which an application for seeking approval for reduction is filed by the company.
