1. What is Form PAS-2 ?

Form PAS-2 is an Information Memorandum which is defined under Section 31 of Companies Act,2013. This form is used by the companies who have to file the Shelf Prospectus. Information memorandum contains information about the securities to be offered by the company. This is used by those companies who are making second or subsequent offers to the public information memorandum helps the company in saving the cost of preparing the prospectus every time. It contain the following essentials which have occurred between Ist offer of security or the previous offer of security and the succeeding offer of security.

● New charges created by the company

● Changes in the financial position of the company

● Such other changes as may be prescribed

2. Why is Form PAS-2 used?

This form should be filled within one month prior to the issue of second or subsequent offer of securities under the shelf- prospectus.This is used by those companies who are making second or subsequent offers to the public information memorandum helps the company in saving the cost of preparing the prospectus every time.
