1. What is Form MGT 3?
Every company that is maintaining a register of members in the foreign country shall provide the notice of the same to the registrar of the companies giving details of the place where the register is kept in form MGT 3. This form shall be filed within 30 days of maintaining this register. Also in the event of any change in the situation of such office or of its discontinuance, shall, within thirty days from the date of such change or discontinuance, as the case may be, file notice in Form No.MGT-3 with the Registrar of such change or discontinuance.

b. It helps the Registrar as well as the security holders of the company to know about the details of the foreign holders
