1. What is Form MGT 11?
MGT 11 is a form filed pursuant of Section- 105(6) of the Companies Act,2013 and Rule 19(3) of the Companies (Management and Administration) Rules, 2014. As per Section- 105 of the Companies Act, 2013 every member of the company shall have the right to appoint a proxy to attend and vote at a meeting on his behalf.
2. Why is it important?
A single person can be a proxy of not more than 50 shareholders and holding in aggregate not more than 10% of the total share capital of the company. A shareholder holding more than 10% of the total share capital of the company, can appoint a single person as to its proxy, however, such person cannot be appointed as a proxy of any other shareholder.
