1. What is Form MGT 1?

Form MGT 1 contains the prescribed format in which companies are required to maintain their registers of members. As per Section 88 (1) read with Rule 3 (1) of The Companies (Management and Administration) Rules 2014, Every Company limited by shares and not limited by shares shall keep and maintain the following registers in such forms and in such manner as may be prescribed, namely:- 

(a) Register of members indicating separately for each class of equity and preference shares held by each member residing in or outside India; 

(b) Register of debenture holders; and 

(c) Register of any other security holders 

The register is maintained from the Date of the registration and in form MGT 1

2. Why is it Important?

a. It is a statutory requirement 

b. It helps the company in the allocation of dividend and other benefits to the members whose name are mentioned in the register

c. It helps the company in identifying the members.
