1. What is Form MBP-3? 

MBP Form 3 is used for register of investment. According to rule 14(1) Every company must keep a register in Form MBP 3 from the date of its registration and enter therein, chronologically, the particulars of investments in shares or other securities beneficially owned by the company but not held in its own name, as well as the reasons for not keeping the investments in its own name and the relationship or contract undisclosed. Any company incorporated under the Companies Act, 2013 (the Act) and the Rules made thereunder is required to keep Statutory Registers (the Registers) and Records.

Members, creditors, and other individuals. On payment of prescribed fees, a company is obliged to provide extracts from the registers if requested by Directors, Members, Creditors, and other persons. 

2. Why is it important?

The Registers must be preserved and updated over time and should be stored at the company's registered office. So that proper and open review can be done, this will not mislead the companies authorities as there will be access to a proper account of those who have invested in the company.
