1. What is a letter of comfort?
A comfort letter is a business document that is intended to assure the recipient that a financial or contractual obligation with another party can and will be met. The sender is often an independent auditor or accountant.
2. Why is it important?
a. It is unable to give a guarantee due to prohibitions in its constitutional documents or negative pledges it has given to other lenders
b. It is unwilling to give a guarantee where company policy limits the number of contingent liabilities that it can incur
c. It contains specific representations or undertakings on the part of the parent.
