1. What is Form SH-8 ?
Form SH-8 is termed as Letter of Offer in E-Format It falls under section 68 of the Companies Act,2013 & Rule 17(2) of companies (Share Capital and Debentures) Rules 2014. Provision of sub-section (2) a company may purchase its own shares or other specified securities referred to as its free reserves, security premium account etc.
2. Why is Form SH-8 used ?
Form SH-8 is required to be filled by the company for presenting a letter of offer for buyback of its own shares or other securities. Letter of Offer should be filed by a company authorized by a special resolution for buyback of its own shares or other securities with the Registrar of Companies in e-form SH-8 before buy back.
