1. What is Form SH-5 ?
Form SH-5 is termed as Notice for transfer of partly paid securities, pursuant to sub-section (3) of section 56 of the Companies Act,2013 and sub-rule (3) of rule 11 of the Companies (Share Capital and Debentures) Rules 2014. The company should not be able to register a transfer of partly paid shares, unless the company has given in notice in Form SH-5 to the transferee and the transferee has given no objection to the transfer within two weeks from the date of receipt of notice.
2. Why is Form SH-5 used ?
Form SH-5 Notice for Transfer of partly paid securities. Notice to be given by a company to the transferee before registering a transfer of partly paid shares. When an application is made by the transferor alone and relates to partly paid shares, the transfer shall not be registered.
