1. What is Form FC-2? 

Form FC-2 is used for the Return of alteration in the document, filed for foreign company registration. Every foreign company must file E-form in the prescribed format under FC-2 within 30 days in the following scenarios, according to Sec 380(3) of the Companies Act, 2013 and Rule 3(4) of Chapter XXII of the Companies (Registration of Foreign Companies) Rules, 2014:

a) Changes to the company's charter, statute, or any other governing document b) Changes in the names of the foreign company's directors and secretaries, c) Any change in the company's registered or main office in the country of incorporation, 

d) Any change in the company's authorised representative information 

e) Any changes in the company's other locations in India. 

This form must be filed with the Registrar of Companies, and the system will send a copy to the concerned ROC of the respective state.

2. Why is it important?

Form FC-2 assures no misrepresentation from the foreign companies side. As all the information which is given hereunder, if altered then need to be informed to the ROC, as it is the foundation of the company and if the correct information is not given it would be liable for misrepresentation and fraud.
