1. What is Form DIR 10?
DIR 10 is filed as an application of Removal of Disqualification of Directors. 14 Disqualification of Directors Sub-section (2) of Section 164:
(5) Any application for removal of disqualification of directors shall be made in Form DIR-10.
Section 164(2) does not empower any authority to remove the disqualification. Removal of disqualification is nowhere talked about in the Companies Act, 2013 except “a period of five years from the date on which the said company fails to do so”. Subordinate legislation may not go beyond the legislative intent and wisdom of Parliament.
2. Why is it important?
Form DIR – 10 seeks information of “ground of disqualification” not ground for“removal of disqualification” and “detail of application”. In case of any contraventionwith these provisions, the company and every officer of the company who is in defaultshall be punishable with fine which shall not be less than Rs. 50,000 but which mayextend to Rs. 5,00,000.
