1. What is a Confidentiality agreement between the company and the individual?
Whenever any company comes into existence, there are various secrets or information that the company keeps hidden from the general public, the reason being, this information makes the company different from others in the industry. Such information is known as confidential information. It is of great value. When any entity joins the company whether, in the capacity of the employee, partner, agent, investor, etc, they get access to this vital information as a part of the nature of their job. Therefore the company in order to protect its information from being stolen or disclosed enters into this Confidentiality agreement whereby the company bars the disclosure and imposes criminal and civil liability upon the receiving party.
2. Why is it Important?
a. It protects the vital information of the company from disclosure.
b. The company can claim punitive damages from the defaulting party.
