1. What is Form CHG-5?

CHG Form-5 is a Memorandum of satisfaction of payment for the satisfaction of the reported charge. The certificates issued by the registrar are definitive proof that the Act and its rules regarding the registration of the creation or alteration of a charge have been followed.

The main purpose of registering a Charge is to notify the Registrar of Companies (“RoC”) and people who want to advance money to the company about the encumbrance imposed on the company's properties. On the Ministry of Corporate Affairs site, the prospective lender may review the index of Charges and forms.

2. Why is it important?

Any company must file Form CHG-5 with the Registrar of Companies to notify the Registrar of Companies of the establishment registration of satisfaction of the charge, on its property or properties, or any of its undertakings, whether tangible or intangible, within or outside India, and to register the particulars of the charge, which must be signed by the company and the charge-holder, as well as the instruments (if any) creating such charge. And the Charge has been registered, the certificate is proof of that because it will provide CIN no to the company.
