1. What is Form CHG-3?
CHG- 3 is a form used in [Pursuant to section 79(b) of the Companies Act 2013 and sub-rule (2) of rule 6 of the Companies (Registration of Charges) Rules, 2014. Certificate of registration of alteration of charge Foreign corporation registration or a corporate identification number (CIN). Once the charge is registered there needs to be proof that's why the CIN number is provided. And this Certificate is provided to the concerned persons. The main aim of charge registration is to notify the Registrar of Companies (Roc) as well as those who advance money to the company about the encumbrance imposed on its properties.
It must be noted that the declaration has to be made on stamp paper & should be notarized by an Advocate, a Company Secretary, a Chartered Accountant or a Cost Accountant, practising the profession.
2. Why is it important?
Certificate of modification of charge is important so that it can provide CIN no. This helps in unique identification amongst the company. If the company fails to register the fee, it will not be taken into account by creditors or liquidators when the company is wound up.
