1. What is Form ADT 3? 

The form ADT 3 is filed for resignation by the Auditor of the Company under Section - 140(2) of the Companies Act, 2013 and Rule 8 under the Companies (Registration Offices and Fees) Rules, 2014, within 30 days of giving his resignation. E-Form ADT 3 should specify the following things: 

a. The date of resignation will be the date written in the resignation letter. 

b. The auditor has to state the exact reasons for resigning. These are written in the resignation letter as well as the form ADT-3. 

c. Other facts relevant to resignation can be anything which is necessary for the company as well as the ROC to know with regard to the resignation. 

d. Since this form is a declaration by the auditor, therefore, has to be signed by the auditor only. 

2. Why is it important? 

As per Section 140(3) of the Act referred hereinabove, If the auditor does not comply with subsection (2), he or it shall be punishable with a fine which shall not be less than fifty thousand rupees but which may extend to five lakh rupees.Therefore, if the auditor fails to inform the ROC about the resignation then there may be a penalty of Rs. 50,000/- to 5 lacs.
